General Terms and Conditions Werff Design
Company: Werff Design – Sjors van der Werff
Services: Graphic design, 2D/3D animation, website development, photography, videography and other services.
1. Applicability
1.1 These general terms and conditions apply to all quotations, agreements and orders between Werff Design (hereinafter: “We”) and the client (hereinafter: “Customer”).
1.2 Deviations from these conditions are only valid if agreed in writing.
2. Quotations and conclusion of agreement
2.1 Quotations are without obligation, unless expressly stated otherwise.
2.2 An agreement is concluded as soon as the Customer accepts a quotation in writing or by e-mail or confirms an order in writing.
3. Prices and payment
3.1 Prices are project-dependent and are stated in advance in the quotation.
3.2 Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.
3.3 For projects with an agreed down payment, this amount must be paid in advance.
4. Execution of the assignment
4.1 Werff Design will carry out the assignment with care and professionalism.
4.2 The number of revision rounds and the precise implementation are agreed and recorded in advance for each project.
4.3 We reserve the right to suspend work if the Customer fails to meet obligations, such as timely delivery of materials or payment.
5. Delivery and usage rights
5.1 After delivery, the Client has full copyright and intellectual property rights to the work delivered.
5.2 The Client may use the work without restriction for any purposes within the project, without additional costs or restrictions.
5.3 Werff Design reserves the right to use the work in its portfolio or to promote its own company, unless the Client expressly refuses this in writing.
6. Cancellation and refund
6.1 Because all orders are custom-made, cancellation and refunds do not apply.
6.2 In the event of interim changes to the order, additional work will be charged separately.
7. Liability
7.1 Werff Design is only liable for direct damage resulting from intent or gross negligence.
7.2 We are not liable for indirect damage, consequential damage, lost profits or lost opportunities.
7.3 The Client indemnifies Werff Design against claims from third parties relating to supplied materials or content.
8. Force Majeure
8.1 In the event of force majeure (such as illness, technical failures, extreme weather conditions or other circumstances beyond our control), services will be suspended.
8.2 If force majeure lasts longer than 30 days, both parties have the right to terminate the agreement without any obligation to pay damages.
9. Applicable law and disputes
9.1 This agreement is governed by Dutch law.
9.2 Disputes will preferably be resolved by mutual agreement. If this is not possible, the dispute will be submitted to the competent court in the Netherlands.
10. Other provisions
10.1 We reserve the right to amend these terms and conditions. The most recent version always applies to new orders.
10.2 If any provision of these terms and conditions is found to be void or voidable, the remaining provisions will remain in full force and effect.
